10. Additional Comments:
On 28/07/2016 América Móvil, S.A.B. de C.V. together with América Móvil B.V. agreed to sell a total of 51,887,646 Telekom Austria AG shares to the market (the "Sold Shares"). On the same day América Móvil, S.A.B. de C.V. entered into a cash settled put option agreement with respect to 7.81% (the "CS Put"). The trades in respect of the Sold Shares to the market will be settled within 6 trading days at the latest. Upon settlement of the trades América Móvil, S.A.B. de C.V. and América Móvil B.V. will together effectively hold 51.89% (344,817,550 shares) of all outstanding shares in Telekom Austria AG.
For purposes only of disclosure and notification under the aggregation rules of the BörseG, exceeding 90%, please note that until settlement of the Sold Shares, the aggregated amount of attributable voting rights under the Sold Shares, shares held by América Móvil, S.A.B. de C.V. and América Móvil B.V. and syndicated shares held by Österreichische Bundes- und Industriebeteiligungen GmbH and the CS Put (financial instrument) will amount to 95.93% (637,469,444 shares). Upon settlement of the trades América Móvil, S.A.B. de C.V. and América Móvil B.V. will together effectively hold 51.89% (344,817,550 shares) of all outstanding shares in Telekom Austria AG. Further, 7.81% of voting rights are attributable as a financial instrument pursuant to Sec. 91a para. 1 No. 3 BörseG and further 28.42 % syndicated shares held by Österreichische Bundes- und Industriebeteiligungen GmbH are attributable under Sec 92 BörseG. In the aggregate, América Móvil, S.A.B. de C.V. will again be below 90% following settlement of the trades.
