Yesterday the Telekom Austria Group (VSE: TKA, OTC US: TKAGY) was informed by CHSH Cerha Hempel Spiegelfeld Hlawati Partnerschaft von Rechtsanwälten, representing Österreichische Industrieholding AG, FN 80286v ("ÖIAG"), which currently owns 125,917,735 shares (equivalent to 28.42%) of Telekom Austria Aktiengesellschaft, FN 144477t, ISIN AT0000720008 ("Telekom Austria") about the following:
"We refer to our last notification in accordance with §§ 91 et seq. BörseG dated July 15, 2014.
On 23 April 2014 ÖIAG entered into a shareholders' agreement, effective since June 27, 2014, with (i) Carso Telecom B.V., register number 55341535 of the commercial register of the Netherlands ("Carso Telecom") and (i) América Móvil, S.A.B. de C.V., register number 263.770 of Mexico City's Registro Publico de Comercio ("América Móvil"), by which the parties have contractually undertaken to jointly pursue a long-term policy with regard to the management of Telekom Austria, by exercising voting rights on a concerted basis ("Syndicate Agreement").
According to its notification dated July 15, 2014 in accordance with §§ 91 et seq. BörseG of July 15, 2014, Carso Telecom currently owns directly 217,149,522 shares of Telekom Austria (equivalent to 49.02%) taking into account declarations of acceptance for 103,978,115 shares in Telekom Austria received by July 14, 2014 under the takeover offer by Carso Telecom and is itself 100% indirectly owned by América Móvil, which in turn currently owns directly 7,935,700 shares of Telekom Austria (equivalent to 1.79%).
Therefore, according to §§ 91, 91a and 92 Z1 BörseG, the Syndicate Agreement currently covers 351,002,957 shares of Telekom Austria, which equates to a shareholding of 79.23%.
Upon effectiveness of the Syndicate Agreement, ÖIAG has therefore exceeded the 75% reporting threshold according to §§ 92 Z 1, § 91 BörseG."
