Today the Telekom Austria Group (VSE: TKA, OTC US: TKAGY) was informed by CHSH Cerha Hempel Spiegelfeld Hlawati Partnerschaft von Rechtsanwälten, representing Österreichische Industrieholding AG, FN 80286v („ÖIAG"), which currently owns 125,917,735 shares (equivalent to 28.42%) of Telekom Austria Aktiengesellschaft, FN 144477t, ISIN AT0000720008 („Telekom Austria") about the following:
"On 23 April 2014 ÖIAG signed a conditional agreement on voting rights with (i) Carso Telecom B.V. register number 55341535 of the commercial register of the Netherlands ("Carso Telecom") and (i) América Móvil, S.A.B. de C.V., register number 263.770 of Mexico City's Registro Publico de Comercio ("América Móvil"), in which both parties agree to the obligation, upon effectiveness, to together follow a long-term policy with regards of the management of Telekom Austria by exercising voting rights on a concerted basis ("Syndicate Agreement").
Carso Telecom currently owns directly 110,841,174 shares of Telekom Austria (equivalent to 25.02%) and is itself 100% indirectly owned by América Móvil, which currently owns directly 7,935,700 shares of Telekom Austria (equivalent to 1.79%).
Therefore, according to §§ 91, 91a and 92 Z1 BörseG the conditional Syndicate Agreement currently covers 244,694,609 shares of Telekom Austria, which equates to a shareholding of 55.24%
Therefore, by the Syndicate Agreement becoming effective ÖIAG will exceed the 30%, 35%, 40%, 45% and 50% reporting thresholds according to § 92 Z 1 ivM § 91 BörseG."
